Welcome to DealNexus. By accessing or using our website at dealnexus.org (the “Site”) and any services provided through the Site (the “Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Site.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our Services. By using the Site, you represent and warrant that you meet these requirements.
2. Platform Description
DealNexus operates as a verified national marketplace that facilitates connections between qualified buyers and sellers of businesses and commercial assets. We provide concierge-level matching, verification, and transaction facilitation services. DealNexus is not a broker-dealer, investment advisor, or law firm, and does not provide legal, tax, or investment advice.
3. Account & Application
To access certain features, you must submit an application (Buyer or Seller). You agree to provide accurate, current, and complete information. DealNexus reserves the right to reject any application at its sole discretion without obligation to disclose the reason.
4. Verification & Due Diligence
All businesses listed on DealNexus undergo a verification process including financial review, asset confirmation, and operational assessment. While we strive for accuracy, DealNexus does not guarantee the completeness or accuracy of any listing information. Buyers are encouraged to conduct their own independent due diligence before any transaction.
5. Confidentiality & NDA
All users acknowledge that information shared through the DealNexus platform is confidential. Matched parties are required to execute Non-Disclosure Agreements (NDAs) before receiving identifying business information. Unauthorized disclosure of confidential information may result in immediate account termination and legal action.
6. Fees & Payments
Certain services may require payment of fees, including but not limited to intake fees, verification fees, or success-based fees. All fees will be clearly disclosed prior to any obligation. Fees paid are non-refundable unless otherwise stated in writing.
7. User Conduct
You agree not to:
- Provide false, misleading, or fraudulent information.
- Use the platform for any unlawful purpose.
- Attempt to circumvent DealNexus to transact directly with matched parties without authorization.
- Interfere with or disrupt the platform’s functionality or security.
- Scrape, harvest, or collect data from the Site without written consent.
8. Intellectual Property
All content on the Site — including text, graphics, logos, images, software, and the DealNexus brand — is the property of DealNexus or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.
9. Limitation of Liability
To the fullest extent permitted by law, DealNexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you to DealNexus in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. DealNexus does not warrant that the Site will be uninterrupted, error-free, or secure.
11. Indemnification
You agree to indemnify and hold harmless DealNexus, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.
12. Termination
DealNexus reserves the right to suspend or terminate your access to the Site at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site ceases immediately.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last Updated” date. Your continued use of the Site constitutes acceptance of the modified Terms.
